Terms and Conditions

Effective Date: May 2, 2026

Please read these Terms and Conditions carefully before using s'new. By creating an account or using our app, you agree to be bound by these Terms. If you do not agree, do not use s'new.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and s'new, Inc. ("s'new," "we," "us," or "our"). They govern your use of the s'new mobile application and any related services (collectively, the "Service").

2. Eligibility

You must be at least 13 years old to use s'new. By using the Service, you represent that you meet this age requirement. If you are between 13 and 17, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

You may not use the Service if you have previously been suspended or removed from s'new for violating these Terms.

3. Your Account

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account

• You must provide accurate information when creating your account

• You may not impersonate another person or create an account on behalf of someone else without their permission

• You must notify us immediately at jackie.p.moren@gmail.com if you suspect unauthorized access to your account

• We reserve the right to suspend or terminate accounts that violate these Terms

4. User Content

4.1 Your Content

You retain ownership of the photos, videos, text, and other content you post on s'new ("User Content"). By posting User Content, you grant s'new a limited, non-exclusive, royalty-free license to store, display, and distribute your content solely as necessary to operate the Service — for example, to show your posts to members of your groups.

4.2 Content Standards

You agree not to post content that:

• Is illegal, obscene, defamatory, threatening, harassing, or abusive

• Violates the privacy or intellectual property rights of others

• Depicts or promotes violence, self-harm, eating disorders, or illegal activity

• Contains sexual content involving minors

• Spreads false information that could cause harm

• Contains spam, malware, or unauthorized advertising

4.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is otherwise harmful to users or the Service. We will make reasonable efforts to notify you when your content is removed.

5. Groups and Privacy

s'new is designed for private sharing. You control who sees your content by choosing which groups to post to. Please be aware that:

• Any member of a group can view posts shared to that group

• Group members can save photos and videos from posts to their camera roll

• Group admins can add and remove members; the group creator can assign admin roles

• When you leave or are removed from a group, your posts are removed from that group's feed but remain in your personal archive

You are responsible for managing your group memberships and for the content you share. Do not add someone to a group without their consent.

6. Prohibited Conduct

In addition to the content standards above, you agree not to:

• Use the Service to harass, bully, stalk, or threaten other users

• Attempt to gain unauthorized access to accounts, servers, or networks

• Reverse engineer, decompile, or otherwise attempt to extract the source code of the app

• Use automated tools, bots, or scrapers to access the Service

• Circumvent any technical measures we use to protect the Service

• Use the Service for any commercial purpose without our prior written consent

• Violate any applicable local, state, national, or international law

7. Reporting Abusive Content

Users are prohibited from posting defamatory, obscene, or abusive content. We reserve the right to remove any content and ban any user who violates these safety standards. Reports of abuse are reviewed within 24 hours.

If you encounter content or behavior that violates these Terms, you can report it directly from within the app. When you submit a report, please include as much detail as possible. Our team will review every report within 24 hours and take appropriate action, which may include removing content, suspending accounts, or permanently banning users.

We do not share your identity with the user you report. Submitting false or bad-faith reports is itself a violation of these Terms.

8. Blocking

You may block any other user at any time from within the app via their profile. When you block someone:

• Your posts, reactions, and comments are hidden from them across all shared groups

• They cannot react to or comment on any of your content

• Neither party can view the other's profile

• No one is removed from any group as a result of a block

Blocking takes effect immediately. The blocked user is not notified that they have been blocked. Blocking is not mutual — if you block someone, they must separately block you to hide their own content from you.

We reserve the right to block or ban users on your behalf when safety reviews determine it is necessary to protect the community.

9. Account Deletion

You may delete your account at any time from within the app. Upon deletion, your personal information and content will be removed in accordance with our Privacy Policy. Deletion is permanent and cannot be undone.

10. Intellectual Property

The s'new name, logo, app design, and all related intellectual property are owned by s'new, Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or trade names without our prior written consent.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, S'NEW, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR (B) $100 USD.

13. Indemnification

You agree to indemnify, defend, and hold harmless s'new, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

You waive any right to participate in class action lawsuits or class-wide arbitration. You may opt out of this arbitration agreement by contacting us at jackie.p.moren@gmail.com within 30 days of first using the Service.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you in-app and, where appropriate, by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

16. Miscellaneous

• If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect

• Our failure to enforce any right or provision does not constitute a waiver

• These Terms, together with our Privacy Policy, constitute the entire agreement between you and s'new regarding the Service

• You may not assign your rights or obligations under these Terms without our consent; we may assign ours without restriction
